Welcome to Partyholic.

These Terms of Service govern your use of the Partyholic website, online store, social media ordering channels, and the purchase or booking of Partyholic products, rentals, event styling services, digital products, customized items, and other services.

By accessing our website, placing an order, approving a quotation, confirming an event booking, paying a reservation fee, deposit, partial payment, or full payment, you acknowledge that you have read, understood, and agreed to these Terms of Service together with our Shipping Policy, Returns, Refunds, Cancellations & Rebooking Policy, Privacy Policy, and any quotation, contract, invoice, or written agreement applicable to your order or event.

If you do not agree with these Terms, please do not use our services or place an order.

1. Partyholic Products and Services

Partyholic provides products and services that may include event styling, corporate events, party rentals, balloons, faux florals, party needs, DIY kits, customized products, digital products, event decorations, and other related goods and services.

Availability, inclusions, pricing, designs, colors, materials, and specifications may vary depending on the product, event requirements, availability of materials, suppliers, venue conditions, and other circumstances.

Partyholic reserves the right to accept or decline an order, booking, customization request, or project when reasonably necessary.

2. Orders and Booking Confirmation

Submitting an inquiry, requesting a quotation, adding an item to a cart, or discussing an event with Partyholic does not automatically reserve a product, rental item, event date, or service.

An event booking is considered confirmed only after Partyholic has received the required reservation fee, deposit, or payment and has provided confirmation of the booking.

Dates are subject to availability and may remain available to other customers until the required payment has been received.

Products are subject to availability until the order has been confirmed and paid according to Partyholic's payment requirements.

3. Quotations and Event Proposals

Event quotations are based on the information, specifications, venue, date, location, quantities, dimensions, designs, and requirements provided by the customer at the time the quotation is prepared.

Unless expressly stated otherwise, any item, service, material, transportation requirement, manpower requirement, venue charge, permit, electrical requirement, equipment, or other expense not specifically included in the quotation is not included in the agreed price.

Changes requested after confirmation may result in additional charges.

Partyholic reserves the right to revise a quotation if the customer changes the event date, venue, location, quantities, dimensions, scope, design, setup schedule, ingress or egress requirements, or other material requirements.

4. Prices and Payment

All prices are displayed or quoted in Philippine Pesos unless otherwise stated.

Prices may change without prior notice for future orders or bookings. However, confirmed orders and bookings will generally follow the agreed quotation, subject to approved changes, additional requirements, rebooking adjustments, or other charges permitted under these Terms.

The customer is responsible for paying all amounts according to the agreed payment schedule.

Failure to make payment by the required due date may result in suspension of preparation, production, delivery, setup, or other services and may affect Partyholic's ability to complete the project as originally scheduled.

5. Reservation Fees and Deposits

Reservation fees and deposits are used to secure the customer's event date and allow Partyholic to allocate manpower, equipment, rental inventory, materials, supplier commitments, transportation, production schedules, and other resources.

Once an event booking is confirmed, reservation fees, deposits, partial payments, and other payments already made are non-refundable in cases of customer-initiated cancellation, subject to rights that cannot legally be waived under applicable law.

6. Event Cancellation

If the customer chooses to cancel a confirmed event, payments already made will not be refunded solely because of the customer's cancellation.

This includes cancellations due to a change of plans, change of mind, scheduling conflict, reduced guest attendance, personal circumstances, change of venue, cancellation by another supplier or venue, or other circumstances not attributable to Partyholic.

Instead of a cancellation refund, Partyholic may permit the customer to rebook the event, subject to the terms below.

7. Rebooking and Rescheduling

Partyholic allows qualifying cancelled or postponed events to be considered for rebooking rather than providing a cash refund for customer-initiated cancellations.

All rebooking requests are subject to Partyholic's availability on the requested new date.

The originally selected products, decorations, rentals, suppliers, designs, personnel, and materials may not be available for the new date.

Any increase in transportation costs, labor costs, supplier prices, material costs, venue requirements, or Partyholic's prevailing rates may be charged to the customer.

A requested rebooking date is not confirmed until Partyholic provides written confirmation.

Payments from one booking may not be transferred to another customer, event, product, or service without Partyholic's written approval.

8. Changes to Confirmed Events

Customers must communicate requested changes as early as possible.

Changes to the event theme, colors, backdrop, styling, dimensions, guest count, quantities, personalized details, setup schedule, venue, delivery location, rentals, or other confirmed requirements are subject to Partyholic's approval.

Changes may result in additional fees.

Partyholic is not required to accommodate last-minute changes when production has already begun, materials have already been purchased, customized items have already been produced, suppliers have already been confirmed, or there is insufficient time to reasonably implement the requested revision.

9. Customer Approval of Designs

Where Partyholic provides a layout, rendering, mockup, artwork, proposal, or design for customer approval, the customer is responsible for reviewing all details carefully before approval.

Approval indicates acceptance of the design, including applicable names, spelling, wording, dates, colors, layout, quantities, dimensions, and other specifications shown or communicated.

Changes requested after approval may be subject to additional charges.

Partyholic shall not be responsible for errors that appeared in an approved design where the information was provided or approved by the customer, except where otherwise required by law.

10. Renderings and Actual Event Appearance

Digital renderings, mockups, reference images, photographs, illustrations, and design proposals are intended to communicate the overall concept and direction of an event.

Actual results may vary slightly because of venue conditions, lighting, available materials, balloon sizes and shapes, floral placement, handmade components, manufacturing variations, screen color differences, structural requirements, safety considerations, and other practical factors.

Reasonable variations that do not materially alter the agreed overall concept shall not automatically constitute a failure to perform the service.

11. Customized and Made-to-Order Products

Customized, personalized, made-to-order, specially sourced, or event-specific products are produced specifically for the customer's requirements.

Once production or procurement has started, such products generally cannot be cancelled, returned, exchanged, or refunded solely because the customer changes their mind or cancels the event.

The customer is responsible for ensuring that all personalized information submitted to Partyholic is correct before approval and production.

12. Event Rentals

All Partyholic rental items remain the property of Partyholic unless expressly sold to the customer.

Rental items must not be removed, transferred, altered, painted, damaged, dismantled, or used for any purpose other than the agreed event without Partyholic's authorization.

The customer may be responsible for the reasonable repair or replacement cost of rental items that are lost, stolen, intentionally damaged, negligently damaged, or improperly handled while under the customer's control or at the customer's venue, subject to the circumstances and applicable law.

Normal wear and tear from proper use is excluded.

13. Venue Access and Requirements

The customer is responsible for ensuring that Partyholic is permitted to enter, deliver, install, style, dismantle, and retrieve equipment from the event venue according to the agreed schedule.

The customer should disclose relevant venue restrictions before confirmation, including ingress and egress schedules, loading restrictions, elevator access, parking requirements, permits, security requirements, electrical restrictions, supplier fees, corkage charges, construction restrictions, ceiling limitations, setup rules, and dismantling deadlines.

Unless expressly included in Partyholic's quotation, venue charges, permits, parking fees, supplier fees, corkage fees, access fees, and similar charges required by the venue shall be the customer's responsibility.

Additional expenses incurred because of undisclosed venue restrictions or changes may be charged to the customer.

14. Delays in Venue Access

Partyholic shall not be responsible for reduced setup time or delays caused by late venue access, delayed turnover of the event area, venue restrictions, delays caused by other suppliers, customer delays, building management restrictions, or circumstances outside Partyholic's reasonable control.

Where additional manpower, transportation, overtime, or other resources are required because of such delays, additional charges may apply.

15. Products and Inventory

We make reasonable efforts to display and describe our products accurately.

Colors may appear differently depending on the customer's screen, lighting, production batch, supplier, or material.

Partyholic may substitute a material or component when the originally specified item becomes unavailable, provided that the substitute is reasonably comparable and does not materially change the agreed product or event concept. When a proposed substitution would materially affect the order, Partyholic will communicate with the customer when reasonably practicable.

16. Returns, Refunds and Defective Products

Partyholic does not provide returns or refunds solely for change of mind, customer ordering errors, event cancellation, or customer preference after receiving a product that conforms to the confirmed order.

However, nothing in these Terms is intended to remove or restrict rights or remedies available to consumers under applicable Philippine law for defective, damaged, lost, non-conforming, or improperly supplied goods or services.

Claims will be reviewed according to Partyholic's Returns, Refunds, Cancellations & Rebooking Policy and applicable law.

17. Delivery and Third-Party Couriers

Partyholic deliveries may be fulfilled through third-party logistics providers including Lalamove, GrabExpress, Angkas Padala, or other available courier services.

Delivery fees are generally shouldered by the customer unless otherwise stated.

Delivery schedules and travel times are estimates and may be affected by traffic, weather, courier availability, demand, accidents, road restrictions, and other circumstances beyond Partyholic's direct control.

Customers must provide accurate recipient information, contact details, and delivery addresses.

Where a customer independently selects and books their own courier, responsibility for the courier's handling and transportation is subject to the customer's arrangement with that provider after Partyholic has properly released the order, subject to applicable law.

18. Delicate Products

Balloons, floral arrangements, event decorations, customized products, cakes or food-related decorations if applicable, and similar products may require careful transportation and handling.

Partyholic may recommend or require an appropriate vehicle type.

If the customer chooses a transportation method contrary to Partyholic's reasonable recommendation, Partyholic shall not be responsible for damage caused specifically by that transportation decision, to the extent permitted by law.

19. Digital Products

Digital products purchased from Partyholic are licensed for the use described at the time of purchase.

Unless Partyholic expressly grants commercial or resale rights, customers may not reproduce, resell, redistribute, sublicense, share, upload, or commercially exploit Partyholic digital products.

Because digital products may become immediately accessible after purchase, cancellation and refund eligibility may differ from physical products, subject to applicable law.

20. Intellectual Property

The Partyholic name, branding, logos, website content, original designs, layouts, graphics, photographs, digital products, templates, event concepts, artwork, marketing materials, and other original materials remain the intellectual property of Partyholic or their respective owners where applicable.

Customers may not copy, reproduce, sell, commercially exploit, or represent Partyholic's intellectual property as their own without authorization.

Customer-provided trademarks, logos, photographs, characters, artwork, or other materials remain the property of their respective owners.

By providing such materials to Partyholic for an order or event, the customer represents that they have the necessary authority or permission for Partyholic to use them for the requested project.

21. Event Photography and Portfolio Use

Partyholic may photograph or record its completed event styling, installations, decorations, rental setups, and products for documentation, portfolio, website, and marketing purposes, provided such use is consistent with applicable privacy laws and any specific written arrangements with the customer.

Where identifiable individuals, private information, minors, or other circumstances requiring additional consent are involved, applicable privacy and consent requirements shall be observed.

Customers who have specific confidentiality requirements should communicate them to Partyholic before the event.

22. Customer Information and Privacy

Customers may be required to provide information necessary to process orders and bookings, including names, contact information, delivery details, event information, and payment-related information.

Partyholic will process personal information in accordance with its Privacy Policy and applicable Philippine data privacy laws.

Customers are responsible for ensuring that the information they provide is accurate and that they have authority to provide information concerning other recipients or authorized representatives.

23. Promotions and Discounts

Promotions, discount codes, packages, subscriptions, vouchers, and special offers may be subject to separate conditions.

Partyholic may establish validity periods, eligible products, minimum purchases, usage limitations, and exclusions for promotions.

Unless expressly permitted, promotions cannot be combined with other discounts or converted to cash.

24. Force Majeure and Circumstances Beyond Partyholic's Control

Partyholic shall not be responsible for delays or failure to perform caused by circumstances reasonably beyond its control, including severe weather, typhoons, flooding, earthquakes, fires, natural disasters, government restrictions, civil emergencies, transportation disruptions, venue closures, power interruptions, supplier disruptions, public emergencies, or similar events.

Where reasonably possible, Partyholic will work with the customer to reschedule or provide an appropriate alternative.

Amounts already spent or irreversibly committed for customized materials, suppliers, production, transportation, rentals, or other event-specific requirements may be taken into consideration when determining the available options.

25. Limitation of Liability

To the maximum extent permitted by applicable law, Partyholic shall not be liable for indirect, incidental, consequential, or special damages arising from circumstances outside Partyholic's reasonable control.

Nothing in these Terms excludes or limits liability or consumer rights where such exclusion or limitation is prohibited by Philippine law.

26. Customer Responsibility

Customers agree to provide accurate information, communicate requirements clearly, review and approve relevant designs and specifications, comply with agreed payment schedules, provide reasonable access to venues, and cooperate with Partyholic in the fulfillment of their order or event.

Partyholic shall not be responsible for losses directly resulting from materially incorrect information supplied by the customer or the customer's failure to disclose requirements that Partyholic could not reasonably have known.

27. Prohibited Use

Customers may not use the Partyholic website, products, services, designs, or digital materials for unlawful, fraudulent, abusive, defamatory, infringing, deceptive, or unauthorized commercial purposes.

Partyholic reserves the right to cancel or refuse transactions reasonably suspected of fraud, unlawful activity, abuse, or unauthorized use, subject to applicable law and appropriate treatment of payments already received.

28. Complaints and Resolution of Concerns

Customers are encouraged to contact Partyholic directly regarding any concern with an order, booking, product, rental, or service so that the matter can be reviewed and an appropriate resolution can be considered.

Partyholic will maintain a reasonable internal process for receiving and addressing customer concerns in accordance with applicable e-commerce and consumer protection requirements.

29. Third-Party Services

The Partyholic website or ordering process may use or link to third-party services, including Shopify, payment providers, social media platforms, courier services, and other external providers.

The use of those third-party services may also be subject to the respective provider's terms and privacy practices.

Partyholic does not control the independent operation of third-party platforms.

30. Changes to These Terms

Partyholic may update these Terms of Service from time to time to reflect changes in our operations, products, services, policies, technology, or applicable requirements.

The version applicable to a transaction will generally be the version in effect when the relevant order or booking was confirmed, together with any subsequent written agreement between Partyholic and the customer.

31. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

Nothing in these Terms is intended to waive, limit, or exclude any right that cannot legally be waived or excluded under applicable Philippine law.

32. Entire Agreement

These Terms, together with the customer's confirmed quotation, invoice, approved design, booking confirmation, applicable Partyholic policies, and any written amendments agreed upon by Partyholic and the customer, constitute the agreement applicable to the transaction.

If a specific written Partyholic quotation or event agreement contains terms that differ from these general Terms of Service, the more specific written terms applicable to that particular transaction shall govern to the extent permitted by law.

33. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to remain effective to the extent permitted by law.
